Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and OpsCommon LLC ("OpsCommon," "we," "our," or "us") governing your access to and use of the OpsCommon platform, including any associated websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

OpsCommon is an operations management platform built around interactive mapping. The Service includes but is not limited to:

  • Interactive mapping with markers, lines, polygons, circles, routes, and MGRS/UTM/lat-lon grid overlays
  • Route planning with linked waypoints, distance and bearing measurements
  • Map feature organization with layers, categories, and labels
  • Team organization with roles, leaders, and member management
  • Real-time collaboration including shared cursors and presentation broadcasting
  • Weather intelligence and location analysis via third-party APIs
  • Data import/export including KML, GPX, GeoJSON, and PDF generation
  • Organization management with permissions, audit logging, and subscription billing

Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years of age.

Organizations

The Service allows you to create or join organizations. If you create an organization, you are the organization administrator and are responsible for:

  • Managing organization members and their access levels
  • Ensuring all members comply with these Terms
  • The content and data created within your organization
  • Payment of any applicable subscription fees

Subscriptions and Payment

OpsCommon offers tiered subscription plans (Starter, Team, and Agency) with both monthly and annual billing options. Payment is processed securely through Stripe.

  • New organizations may be eligible for a 14-day free trial
  • You agree to pay all applicable fees as described at the time of purchase
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Annual plans are billed upfront with a discount compared to monthly billing
  • Fees are non-refundable except as required by law or stated in our refund policy
  • We may change pricing with reasonable notice before your next billing cycle
  • You can manage your subscription and billing details through the Stripe customer portal

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Collect or harvest user information without consent
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Use the Service for any purpose that is harmful, threatening, abusive, or harassing
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Abuse API rate limits or attempt to circumvent usage restrictions

User Content

You retain ownership of any content you create, upload, or share through the Service ("User Content"), including operations, map features, routes, and uploaded files. By submitting User Content, you grant OpsCommon a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not infringe any third-party rights
  • Your User Content complies with these Terms and applicable laws

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is objectionable.

Third-Party Services

The Service integrates with third-party services to provide its functionality. Your use of the Service is also subject to the terms of these providers:

  • Convex: Real-time database and backend infrastructure
  • Clerk: Authentication and identity management
  • Stripe: Payment processing and subscription management
  • Mapbox: Mapping, geocoding, and terrain services
  • OpenWeatherMap: Weather data and forecasts
  • Sentry: Error tracking and performance monitoring

Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by OpsCommon and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us or using account settings. Upon termination:

  • Your right to use the Service will immediately cease
  • Any active subscriptions will be cancelled at the end of the current billing period
  • We may delete your User Content after a reasonable retention period
  • Provisions that should survive termination will remain in effect

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. Weather data, map data, and geospatial calculations are provided for informational purposes and should not be relied upon as the sole basis for critical decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OPSCOMMON, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Inaccuracies in weather data, map data, or geospatial calculations provided by third-party services

Our total liability shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless OpsCommon and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Export Controls

The Service may be subject to U.S. export control laws and regulations. You agree not to export or re-export the Service or any data obtained through the Service in violation of applicable export control laws, including to any country subject to U.S. sanctions.

Service Level

While we strive for high availability, OpsCommon does not guarantee specific uptime percentages for standard plans. Enterprise customers may negotiate custom Service Level Agreements. Third-party service outages (Mapbox, OpenWeatherMap, Stripe) are beyond our direct control.

Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, labor disputes, power failures, internet disruptions, or third-party service outages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Georgia, United States.

Dispute Resolution

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting support@opscommon.com. If we cannot resolve the dispute within 30 days, either party may pursue formal legal action in the courts specified above.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
